Brand Creatrix Vault Membership Agreement

This Membership Agreement ("Agreement") is entered into by and between you ("Member") and Margie Pargie, operating as Brand Creatrix ("Company"). By purchasing access to the Brand Creatrix Vault ("Vault"), you agree to the following terms and conditions:

1. Services Provided The Vault is a digital membership providing access to curated AI-generated visual assets intended for use in branding and creative content. Membership includes monthly downloadable content drops and exclusive design assets.

2. Membership Access Access to the Vault is granted upon successful purchase and continues based on the selected payment plan (monthly, annual, or lifetime). Content availability and access are contingent on an active subscription unless otherwise stated (e.g., lifetime access).

3. Usage Rights & Licensing Members are granted a non-exclusive, non-transferable license to use the provided images and assets for personal branding, business use, and client projects.

Members may:

  • Use assets in social media graphics, websites, marketing materials, digital products, and branding projects.

  • Incorporate assets into client work (e.g., as part of a done-for-you branding package or design service).

Members may not:

  • Resell, redistribute, or sublicense any of the assets as standalone products or in bundled form.

  • Upload assets to third-party marketplaces or platforms for sale.

  • Claim authorship or exclusive rights to any visuals provided.

4. Payment Terms Payments are processed securely through the designated checkout platform. By subscribing, you authorize recurring charges according to your selected plan. Late or failed payments may result in suspension or termination of access.

5. Refund Policy Due to the digital nature of the content, all sales are final. No refunds will be issued after purchase.

6. Intellectual Property All content within the Vault remains the intellectual property of Margie Pargie. Membership grants usage rights but does not transfer ownership.

7. Termination Margie Pargie reserves the right to revoke access and terminate this agreement if a member violates any terms herein, including but not limited to unauthorized distribution or misuse of content.

8. Modifications The Company reserves the right to update or modify this Agreement at any time. Continued use of the Vault after changes constitutes acceptance of the new terms.

9. Limitation of Liability The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to use of the Vault or its contents.

10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which Margie Pargie operates.
